Terms & Conditions

These documents explain how HappyBag protects your data and how the platform should be used.

Service overview

HappyBag is a software platform provided by HappyBag Ltd. It lets restaurants create a digital storefront, take and manage orders, message customers, run promotions and view insights. These terms apply to restaurants using the platform and to anyone using a HappyBag storefront.

Subscriptions

HappyBag is offered on subscription plans. Each plan sets out which features are included. Some features are only available on higher plans and are shown as locked until upgraded.

Plans may be changed at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing period.

Acceptable use

You must not use HappyBag to break the law, send unsolicited marketing, upload content you do not have the rights to, attempt to access other accounts, or interfere with the platform's operation. Full detail is in our Acceptable Use Policy.

Restaurant responsibilities

  • Keeping menu content, pricing and allergen information accurate and up to date
  • Fulfilling orders placed through the storefront
  • Obtaining valid marketing consent before sending promotional messages
  • Handling customer personal data lawfully
  • Keeping account credentials secure and managing staff access

Customer responsibilities

  • Providing accurate contact details when placing an order
  • Collecting or receiving orders as agreed with the restaurant
  • Raising any issue with an order directly with the restaurant

Orders are a contract between the customer and the restaurant. HappyBag provides the software but is not the seller of food or drink.

Availability

We aim to keep HappyBag available at all times, but the service is provided without a guaranteed uptime commitment. Planned maintenance and occasional downtime may occur.

For legal review: Add a formal SLA here if uptime commitments are offered on higher plans.

Payments

Subscription fees are billed in advance for each billing period. Prices are shown on our pricing page and may change with reasonable notice.

For legal review: Update once card payments and customer checkout payments go live, including fee handling and chargebacks.

Refunds

Subscription fees already paid are generally non-refundable. If something goes seriously wrong on our side, contact us and we will review the situation fairly.

Cancellation

You can cancel at any time. Your account stays active until the end of the current billing period, after which access to paid features stops. You can export your data before cancelling.

Intellectual property

HappyBag owns the platform, its software, branding and design. You keep ownership of your own content — menu text, images, logo and customer data — and grant us the licence needed to host and display it as part of the service.

Limitation of liability

To the extent permitted by law, HappyBag is not liable for lost profits, lost sales or indirect losses arising from use of the platform. Nothing in these terms limits liability that cannot be limited by law.

For legal review: Confirm the liability cap (for example, fees paid in the preceding 12 months).

Termination

We may suspend or close an account that breaches these terms, is used unlawfully, or has unpaid fees. Where reasonable, we will give notice and an opportunity to fix the issue.

Changes to the service

HappyBag is actively developed. Features may be added, changed or removed. We will give notice of material changes that reduce functionality on your plan.

Governing law

These terms are governed by the laws of England and Wales.
